Ryde Group Ltd - Issuance of Class B Ordinary Shares

Ryde Group Ltd issued 3,500,000 Class B Ordinary Shares to its Founder, Chairman, and CEO, Mr. Terence Zou, on April 7, 2026. This issuance followed the satisfaction of performance-based milestones, achieved upon the completion of a $10 million private offering on October 20, 2025. The Class B Ordinary Shares carry 10 votes per share, while Class A Ordinary Shares have one vote per share. Post-issuance, Mr. Zou will beneficially own 16,177,175 Class B Ordinary Shares and 618,750 Class A shares. This represents approximately 10.27% of the Company’s total issued and outstanding share capital and approximately 52.54% of the aggregate voting power. The Class B Ordinary Shares are not listed on the NYSE American market.
