Officer and Director Stock Transactions

Jason Weed, Chief Commercial Officer of Ocean Power Technologies, Inc., reported transactions involving restricted stock units (RSUs) and common stock. On January 31, 2026, Mr. Weed was granted 6,479 RSUs vesting over three years and 18,790 performance-based RSUs. On June 16, 2025, he was granted 8,333 time-based RSUs (a portion vested in 2026) and 5,000 performance-based RSUs. Following these grants and vesting, Mr. Weed directly owns 5,384 shares of common stock, with additional holdings of 6,479 and 8,333 shares subject to time-based vesting as noted in footnotes F1 and F2, respectively. The performance-based RSUs are detailed in footnotes F3 and F4.
