Ondas Inc. Acquires Indo Earth Moving Ltd.

Ondas Inc. has entered into a Share Purchase Agreement to acquire 100% of the issued and outstanding share capital of Indo Earth Moving Ltd. The acquisition involves a cash consideration of $5,663,398 and the issuance of 5,493,388 shares of Ondas Inc. common stock. The stock issuance will occur in two tranches: 2,441,506 shares at closing and 3,051,882 shares within five business days following the achievement of the First Milestone. Additionally, the sellers may earn up to $140,000,000 in contingent earn-out payments over three years, subject to certain milestones. The agreement includes daily trading volume limitations for the sellers regarding the shares received. Ondas Inc. also entered into a Registration Rights Agreement with the sellers for the resale of the issued shares. The acquisition is structured to comply with Regulation S for unregistered sales of equity securities. The company announced this acquisition via a press release on March 17, 2026.
