OFA Group Enters Intellectual Property Assignment and Co-Ownership Agreement

OFA Group, through its subsidiary Office for Fine Architecture Limited, has entered into an Intellectual Property Assignment and Co-Ownership Agreement with Alan To AI Consultancy Co. Limited. The agreement grants OFA Group a 50% co-ownership interest in the QIKBIM system intellectual property. The total purchase price is $17,500,000, with $11,994,800 already paid and the remaining balance of $5,505,200 due by December 31, 2026. OFA Group will have sole control over the management, control, and direction of operational, technical, strategic, and commercial matters related to the QIKBIM system and business, while net monetization proceeds will be shared 50/50 after OFA Group recovers certain development costs. The agreement also includes provisions for transition support from the seller for 24 months and grants OFA Group an option to acquire the seller's remaining interest under specified conditions. This agreement supersedes prior co-development arrangements.
