Amendment to Promissory Note

Odyssey Health, Inc. entered into Amendment No. 12 with LGH Investments, LLC, effective as of April 30, 2026. The amendment extends the maturity date of the promissory note to September 30, 2026. All other terms and conditions of the note remain unchanged. This amendment is considered a direct financial obligation of the registrant.
