Nayax Ltd. Director Resignation

Eran Havshush resigned as a director of Nayax Ltd. effective September 1, 2026. This resignation follows the adoption of a revised Remuneration Policy in May 2026, which prohibits non-executive directors from providing services to the Company other than their directorial duties. Mr. Havshush, who provides services to the Company under a services agreement, will continue his engagement as a service provider. His resignation was not due to any disagreement with the Company’s policies or practices and was mutually agreed upon as being in the Company's best interests.
