Navitas Semiconductor Corporation and Live Oak Sponsor Partners II, LLC Settlement Agreement

Navitas Semiconductor Corporation and Live Oak Sponsor Partners II, LLC have entered into a Settlement, Release and Amendment Agreement on May 18, 2026. This agreement resolves disputes concerning the vesting and transfer of up to 10,000,000 shares of the Company's Class A common stock, known as Earnout Shares, which were subject to certain price targets by October 19, 2026. The agreement details the transfer of 726,225 Sponsor Earnout Shares to Live Oak Sponsor, which are no longer subject to vesting or forfeiture. This is in addition to 421,000 previously earned shares. Live Oak Sponsor forfeited 115,775 Sponsor Earnout Shares. Both parties have released each other from all claims related to the disputes, with specific provisions for confidentiality and non-disparagement. Live Oak Sponsor will also indemnify Navitas against claims from its equityholders related to the released matters. The agreement aims to avoid further dispute resolution and includes waivers of certain legal rights, such as those under California Civil Code Section 1542.
