Note Modification Agreement Extension of Maturity Date

Northern Technologies International Corporation ("NTIC") and JPMorgan Chase Bank, N.A. ("JPM") entered into a Note Modification Agreement on December 18, 2025. This agreement modifies a Line of Credit Note originally dated July 8, 2025, with a principal amount of $10.0 million. The modification extends the maturity date of the note from January 5, 2026, to February 5, 2027. All other material terms of the original Line of Credit Note remain unchanged. The agreement specifies that this is a modification and not a novation, and all other terms and conditions of the note and related documents remain in full force and effect, incorporated with the changes made by this agreement. NTIC also releases JPM from any and all claims related to the loan up to the agreement date.
