Nano Nuclear Energy Inc. Acquires Secured Transportation Services LLC

Nano Nuclear Energy Inc. (the "Company" or "Nano") has completed the acquisition of 100% of the membership interests of Secured Transportation Services LLC ("STS") through its wholly-owned subsidiary, Advanced Fuel Transportation Inc. The acquisition was finalized on May 22, 2026. The total consideration for STS amounts to up to $13.0 million. This includes $6.0 million in cash at closing, subject to adjustments, $1.0 million in Nano's restricted common stock at closing, and $6.0 million in common stock payable in five annual installments starting on the first anniversary of the closing date. The company also entered into a Registration Rights Agreement with the sellers to facilitate the resale of the issued shares. Additionally, restrictive covenant agreements, including non-competition and non-solicitation clauses, were signed by the sellers. Roy A. Boyd II, the founder of STS, has been appointed as President of STS, reporting to Nano's CEO, and has entered into an employment agreement with an annual base salary of $350,000, eligible for bonuses and participation in the Company's equity incentive plan. The company issued a press release on May 26, 2026, to announce the acquisition.
