Nano Dimension Ltd. and Murchinson Ltd. Settlement Agreement

Nano Dimension Ltd. has entered into a Settlement Agreement with Murchinson Ltd. and members of its Board of Directors. As part of the agreement, four directors, Robert Pons, David Stehlin, Dr. Joshua Rosensweig, and Andrew Sriubas, have resigned from the Board and all positions with the Company and its subsidiaries. Concurrently, three new directors, Pinchos (Paul) Fruchthandler, Moshe Rozenbaum, and Eliezer Eli Tarlow, have been appointed to the Board. Murchinson has withdrawn its demand for an extraordinary general meeting of shareholders, leading to the cancellation of the previously scheduled July 31, 2026 meeting. The agreement also includes mutual releases of certain claims, covenants not to pursue legal proceedings, and non-disparagement provisions. Moshe Rozenbaum has been appointed as the Interim CEO. This settlement signifies a change in control for the Company.
