Terra Innovatum Global N.V. Executive Compensation and Directorship Agreements

On December 17, 2025, Terra Innovatum Global N.V. announced the approval of Directorship Agreements for its executive directors: Alessandro Petruzzi (CEO), Massimo Morichi (Chief Strategy Officer), and Cesare Frepoli (Chief Operating Officer). These agreements, effective until the 2026 annual general meeting and subject to annual renewal, outline compensation and terms of service. For FY2025, Mr. Petruzzi will receive EUR 500,000, Mr. Morichi EUR 400,000, and Mr. Frepoli EUR 450,000. For FY2026, their fixed compensations will increase to EUR 558,000, EUR 450,000, and EUR 500,000, respectively. All managers are eligible for a performance-based bonus detailed in separate agreements. The agreements also specify terms for termination, including provisions for change of control, intellectual property rights, and non-disparagement/non-solicitation clauses. Additionally, on December 22, 2025, bonus payments were approved for certain officers of the subsidiary, Terra Innovatum s.r.l., recognizing the business combination and Nasdaq listing.
