NaaS Technology Inc. Warrant Termination Agreement

NaaS Technology Inc. entered into a Warrant Termination Agreement with LMR Multi-Strategy Master Fund Limited on May 19, 2026. This agreement irrevocably terminates certain warrants (LMR Warrants) issued on August 8, 2025, for the purchase of Class A ordinary shares. In consideration for this termination, NaaS Technology Inc. will pay LMR Multi-Strategy Master Fund Limited an aggregate of US$4,500,000, to be paid in monthly installments from June to December 2026. The agreement also outlines terms for the potential issuance of new warrants in case of default on payments and clarifies the conditions under which the original Settlement Deed will be terminated.
