Quantum Cyber N.V. Enters Intellectual Property License Agreement with Project LightShift

Quantum Cyber N.V. has entered into an Intellectual Property License Agreement with Project LightShift, granting Quantum Cyber N.V. a license to use certain intellectual property owned by Project LightShift. The license pertains to quantum antenna systems and related products for unmanned aerial vehicles and drone platforms, specifically for defense and national security applications. In exchange, Quantum Cyber N.V. will pay $1,000,000 in cash and issue $5,000,000 worth of restricted ordinary shares to Project LightShift. Project LightShift is obligated to deliver a demonstrable prototype by December 31, 2026. Upon successful demonstration, Quantum Cyber N.V. will have a 120-day exclusive right of first negotiation for further commercialization arrangements. Additionally, Nadab Akhtar will be appointed as a Special Advisor to Quantum Cyber N.V. on quantum technologies. The agreement includes provisions for termination, indemnification, and confidentiality. Quantum Cyber N.V. also entered into a Voting Agreement with Project LightShift, where Project LightShift agreed to vote its shares in favor of the company's board recommendations.
