Amendment to Schedule 13D Filing

This filing is an amendment to a previous Schedule 13D filing, primarily due to a reorganization event on February 23, 2026. Toronto Dominion Investments LLC (TDI) exchanged its 1,536 Variable Rate Muni Term Preferred Shares of BLACKROCK MUNIVEST FUND, INC. for an equal number of Variable Rate Demand Preferred Shares of BlackRock MuniYield Quality Fund III, Inc. (MYI). As a result of this reorganization, the reporting persons no longer own any of the Issuer's VMTP Shares, and consequently, ceased to be the beneficial owner of more than five percent of the class of securities as of February 23, 2026. The amendment also updates referenced exhibits, including a Joint Filing Agreement and certificates related to the authorized signatories for the involved entities.
