Maison Solutions Inc. Enters into Consent and Waiver Agreement

Maison Solutions Inc. has entered into a consent and waiver agreement with JAK Opportunities XV LLC, the holder of its Senior Secured Convertible Promissory Note dated October 1, 2025, and its Convertible Note dated October 22, 2025. This agreement provides a waiver for certain restrictive covenants within the Notes and related transaction documents, specifically for the purpose of allowing Maison Solutions Inc. to divest its majority equity ownership in Super HK of El Monte, Inc. and its minority ownership interest in HKGF Market of Arcadia, LLC. The waiver ensures that these divestitures will not be considered a default under the aforementioned notes and agreements. The company reaffirms all its obligations and liabilities under the transaction documents as modified by this waiver.
