Director Appointment and Bylaw Amendments

Effective August 26, 2026, Gregory B. Braca was appointed as a director of Mid Penn Bancorp, Inc., serving until the 2027 Class B term expiration. Mr. Braca, aged 62, is an independent director with extensive experience in financial institutions, having previously served as President and CEO of TD Bank. He will also serve on the Audit, Compensation, and Risk Committees. The company also amended its bylaws on August 26, 2026, to phase out the declassification of the Board of Directors. Beginning with the 2029 annual meeting, directors will be elected for one-year terms. Prior to that, staggered terms for Class A, B, and C directors will ensure a transition to the annual election of all directors.
