Appointment of Richard A. Vari as CFO

MainStreet Bancshares, Inc. announced that Richard A. Vari will assume the role of Executive Vice President and Chief Financial Officer effective January 1, 2026. Vari, a CPA with extensive banking experience, previously served as CFO of MainStreet Bank and Chief Accounting Officer of the Company. His new employment agreement runs from December 31, 2025, to December 31, 2028, with an annual base salary of $360,000. He remains eligible for bonuses and equity awards. The agreement includes standard non-competition and non-solicitation clauses. In the event of termination without cause, especially following a change of control, Vari is entitled to specific severance payments. The agreement also details provisions for disability, death, and termination for cause, alongside standard benefits and expense reimbursements.
