Mach Natural Resources LP Equity Distribution Agreement

Mach Natural Resources LP has entered into an equity distribution agreement with Morgan Stanley & Co. LLC as sales agent. The agreement allows Mach Natural Resources LP to issue and sell up to $100,000,000 of its common units. The sales will be conducted through "at the market" offerings on the New York Stock Exchange or through negotiated transactions. The company will pay the agent a commission of 2.5% of the gross sales price and reimburse certain expenses. The agreement can be suspended or terminated by either party at any time. The net proceeds from any sales will be used to repay debt and for general partnership purposes.
