Agriculture Investment Group Corp. Becomes Controlling Shareholder of Moolec Science SA via Share Conversion

On April 1, 2026, Moolec Science SA announced that Agriculture Investment Group Corp. (AIGC) has become its new controlling shareholder. AIGC now holds 65.1% of the Company’s outstanding ordinary shares. This change in control resulted from the partial conversion of preference shares into ordinary shares pursuant to a Subscription Agreement dated December 9, 2024 (amended June 16, 2025) between Bioceres Group Limited and AIGC. The conversion followed the completion of a business combination that made Bioceres Group Limited a subsidiary of Moolec. As a foreign private issuer, Moolec elected to follow home country practices regarding shareholder approval for the issuance of securities resulting in a change of control, rather than following Nasdaq’s standard requirements. The transaction is intended to strengthen Moolec's capital position and support its ongoing growth initiatives in the molecular farming industry.
