MKDWELL Tech Inc. Acquires Landvision Inc. to Diversify into Smart-Home and IoT Sector

MKDWELL Tech Inc. has entered into an agreement to acquire the entire issued share capital of Landvision Inc. for US$240,000,000, to be satisfied through the issuance of 30,000,000 new ordinary shares. This strategic acquisition aims to diversify MKDWELL's business beyond automotive electronics into the high-growth consumer smart-home and Internet-of-Things (IoT) sector. Landvision, through its subsidiary Landvision Technology Limited, develops and supplies AI-enabled smart-home and IoT products, including smart-home security devices, cooling appliances, and OEM/ODM manufacturing services. The Company believes this move will leverage complementary strengths in embedded electronics and sensor technology, enhancing the scale, profitability, and growth profile of the enlarged group. Following the acquisition, MKDWELL's CEO, Mr. Ming-Chia Huang, will remain the controlling shareholder. The transaction is expected to be completed around August 2026, subject to customary closing conditions. Certain selling shareholders have agreed to a staggered lock-up period for the newly issued shares.
