Lightspeed Commerce Divests Upserve U.S. Hospitality Product Line

Lightspeed Commerce Inc. has announced the sale of its Upserve U.S. hospitality product line to Skyview Equity for up to $81 million USD in cash, with $37 million subject to an earnout. This divestiture aligns with Lightspeed's strategy to focus on its core growth areas: retail in North America and hospitality in Europe. The divested operations generated approximately $140 million in revenue and $26 million in gross profit in Fiscal 2026. The transaction includes around 3,200 U.S. hospitality customer locations and approximately 70 employees, who are expected to join Skyview. Lightspeed anticipates that the sale will improve its revenue and gross profit growth trajectory, with approximately 75% of its Fiscal 2026 revenue generated from its core growth engines after the divestiture. The company also expects its Fiscal 2027 Adjusted EBITDA to be between $75 and $95 million. This move enhances Lightspeed's financial flexibility for priorities such as share repurchases and strategic investments.
