Loma Negra Announces Changes in Controlling Shareholder Structure Following Judicial Reorganization

Loma Negra C.I.A.S.A. reported a significant change in its indirect controlling shareholder, Intercement Participações (ICP), following the approval of ICP's Judicial Reorganization Plan. An extraordinary shareholders' meeting of ICP approved a capital increase of R$ 2.816.275.313,89 through the issuance of 1.286.045.664 new shares, subscribed by ICP's creditors. This resulted in a modification of ICP's shareholding structure, with Latcem LLC now holding a 38.7% stake, Redwood 26.7%, and Moneda 24.0%, among others. Mover Participações S.A., the previous ultimate controlling shareholder of ICP, waived its preemptive subscription rights, and its shares in ICP were cancelled. A new board of directors for ICP was also appointed. Despite these changes at the ICP level, Loma Negra's direct controlling shareholder, InterCement Trading e Inversiones Argentina, S.L., remains unchanged with a 52.14% ownership of the voting shares. There are no existing agreements among ICP's new shareholders concerning the corporate governance of ICP or its subsidiaries, including Loma Negra.
