LanzaTech Increases Ownership in LanzaJet to 53%

LanzaTech Global, Inc. announced an increase in its ownership of LanzaJet, Inc. to 53%, up from approximately 36%. This increase is in accordance with the Second Amended & Restated LanzaJet Investment Agreement, which allowed LanzaJet to further sublicense LanzaTech's Alcohol-to-Jet (ATJ) technology in exchange for additional equity. The final tranches of LanzaJet common stock were received by LanzaTech on December 16, 2025. LanzaJet, a sustainable aviation fuel technology provider, has successfully commissioned its Freedom Pines Fuels facility, producing ASTM-certified sustainable fuels. LanzaTech's platform enables the production of ethanol from various carbon sources, which LanzaJet converts into sustainable aviation fuel (SAF). This collaboration aims to reduce aviation emissions and enhance supply chain resilience. Despite the increased equity, LanzaTech's governance or control over LanzaJet has not changed. The company acknowledges that the sustainable aviation fuel industry is capital-intensive and faces operational and financial pressures during scaling.
