LINKBANCORP, Inc. Completes Merger with Burke & Herbert Financial Services Corp.

On May 1, 2026, LINKBANCORP, Inc. (LNKB) completed its merger with Burke & Herbert Financial Services Corp. (Burke & Herbert), with Burke & Herbert as the surviving entity. Following this, LINKBANK merged with Burke & Herbert Bank & Trust Company, with the latter as the surviving bank. Common stockholders of LNKB received 0.1350 shares of Burke & Herbert common stock for each share of LNKB common stock they held. Equity-based awards, including restricted stock and stock options, were also adjusted according to the merger terms. As a consequence of the merger, LNKB is no longer listed on the Nasdaq Capital Market, and the company intends to deregister its common stock and suspend its reporting obligations. Two former LNKB directors, Diane Poillon and Kristen Snyder, have been appointed to the board of directors of the surviving corporation.
