Kingsway Corporation 2026 Annual Meeting of Stockholders

Kingsway Corporation held its 2026 annual meeting of stockholders on May 18, 2026, with approximately 73.09% of outstanding shares represented. Stockholders elected all director nominees, ratified the appointment of Plante & Moran, PLLC as independent registered public accounting firm for 2026, and approved an amendment to the Certificate of Incorporation to change the corporate name. Additionally, an amendment to the 2020 Equity Incentive Plan to increase the number of reserved Common Shares was approved, and a nonbinding advisory vote to approve named executive officer compensation also passed. All proposals passed with a majority of the votes cast.
