Jaguar Health Amends Royalty Agreements and Extends Note Maturity to October 2026
On June 17, 2026, Jaguar Health, Inc. entered into several financial amendments to manage its debt and royalty obligations. The company executed Global Amendment No. 5 with Uptown Capital and Streeterville Capital regarding two separate $12 million royalty interests. These amendments establish that, starting October 1, 2026, monthly royalty payments will be the greater of $750,000 or the calculated royalty amount. Additionally, the initiation of monthly payments for the Streeterville 2022 Royalty Interest was extended from July 1, 2026, to October 1, 2026. Concurrently, Jaguar and its subsidiary Napo Pharmaceuticals amended a 2021 secured promissory note with Streeterville, extending its maturity date from July 1, 2026, to October 1, 2026. Furthermore, between June 9 and June 18, 2026, the company engaged in three privately negotiated exchange transactions with Streeterville. Jaguar issued a total of 110,249 shares of common stock in exchange for approximately 10.88 shares of Series Q Perpetual Preferred Stock. These exchanges resulted in the issuance of more than 5% of the company's outstanding common stock.
