Inspira Technologies Acquires Additive Manufacturing Electronics and Fabrica Businesses

Inspira Technologies Oxy B.H.N. Ltd. has entered into an Asset Purchase Agreement with Nano Dimension Technologies Ltd. to acquire the latter's additive manufacturing electronics (AME) and Fabrica businesses. The acquisition, which closed on April 6, 2026, includes intellectual property, equipment, inventory, and customer contracts. The total potential consideration is up to $12,500,000, comprising a $2,000,000 cash payment at closing and up to $10,500,000 in deferred consideration based on net cash proceeds collected over a 12-month period post-closing. The agreement details the scope of purchased and excluded assets, assumed liabilities, and the process for calculating and paying deferred consideration. Both parties have agreed to cooperate on post-closing matters, including the transfer of assets and obtaining necessary third-party consents.
