Appointment of Michael G. Wooldridge to the Board of Directors

Independent Bank Corporation announced the appointment of Michael G. Wooldridge to its Board of Directors and the Board of Directors of Independent Bank, effective December 16, 2025. Mr. Wooldridge, formerly a partner at the Varnum law firm, brings extensive experience in corporate governance, securities, and mergers & acquisitions, having advised publicly traded clients and led numerous public equity and debt offerings. He also has experience counseling officers and directors on executive compensation, corporate structure, and governance matters. Mr. Wooldridge received his J.D. from Cornell University Law School and a B.A. from Alma College. His appointment is expected to enhance the corporation's expertise in these critical areas. He will be compensated in line with other non-employee directors.
