Honeywell International Inc. Business Realignment and Litigation Update

Honeywell International Inc. announced a realignment of its business units, effective the first quarter of 2026. The Industrial Automation and Energy and Sustainability Solutions segments will be restructured, forming a new Process Automation and Technology segment and a revised Industrial Automation segment. The Energy and Sustainability Solutions segment will cease to be reported separately following the spin-off of its Advanced Materials business on October 30, 2025. The company will now report four main segments: Aerospace Technologies, Building Automation, Process Automation and Technology, and Industrial Automation. Additionally, Honeywell expects to record a one-time charge of approximately $310 million due to ongoing settlement negotiations for litigation with Flexjet, LLC, and anticipates total cash payments of around $470 million related to this matter. The spin-off of the Advanced Materials business is reported as discontinued operations, with its 2024 net sales, operating income, and operating cash flows from discontinued operations being $3.8 billion, $1.0 billion, and $1.0 billion, respectively.
