Amendment to Credit Agreement
Hilton Grand Vacations Inc. (HGV) has entered into Amendment No. 10 to its Credit Agreement, dated August 2, 2021. This amendment allows the borrower to incur an $850.0 million term loan. The proceeds will be used to repay approximately $849.0 million of the existing term loan due in 2028 and for general corporate purposes. The new term loan matures on July 17, 2033, and has the same covenants and events of default as the existing term loans. Interest rates are comparable to the current Term Loan B due 2028, with options for Base Rate or Term SOFR, plus applicable margins. The loan is secured by substantially all assets of HGV, its parent, the borrower, and subsidiary guarantors. Voluntary prepayments are allowed without penalty, except for a 1.00% premium on repricing transactions within the first six months. Mandatory prepayments apply under the same terms as the existing term loans. Quarterly principal repayments of 0.25% are required starting December 31, 2026, with the remaining balance due at maturity.
