Galaxy Digital Inc. Announces $3.507 Billion Senior Secured Notes Offering
Galaxy Digital Inc. (the βCompanyβ), through its indirect wholly owned subsidiary Galaxy Helios Data Centers II LLC (the βIssuerβ), has announced its intention to offer $3.507 billion in aggregate principal amount of senior secured notes due 2031. This offering will be conducted in a private placement under Rule 144A for qualified institutional buyers in the U.S. and under Regulation S for non-U.S. persons outside the U.S. The net proceeds from the offering are intended to finance the development and construction of two buildings with a total of 400 megawatts of utility capacity and 260 megawatts of critical IT capacity in Dickens County, Texas. These proceeds will also fund debt service reserves for the project.
