GoodRx Holdings, Inc. Board Membership Update and Director Departure

On March 31, 2026, Ian T. Clark resigned from the Board of Directors of GoodRx Holdings, Inc. and its Nominating & Governance Committee. His resignation was not due to any disagreements with the company or its management. To rebalance the board classes following Mr. Clark's departure, Wendy Barnes, CEO, President, and Director, was moved from Class I to Class III. Ms. Barnes initially resigned from her Class I position on April 1, 2026, and was immediately re-elected as a Class III director, with her service considered uninterrupted. This rebalancing resulted in three directors in each of Classes I, II, and III.
