Appointment of Interim Chief Financial Officer

On April 29, 2026, Fermi Inc. appointed Robert L. Masson as Interim Chief Financial Officer (Interim CFO) and principal financial officer. Mr. Masson, 55, has over 20 years of experience in finance within the aerospace, defense, and industrial sectors. His previous roles include CFO at Noble Supply and Logistics, LLC (2023-2025), CFO at Latham Group, Inc. (2022-2023), Executive Vice President and CFO at Hypertherm, Inc. (2018-2022), Vice President of Finance at Flowserve (2016-2018), and various finance leadership roles at Raytheon Technologies (2003-2016). He also served in the U.S. Navy from 1992-2001. Mr. Masson holds a B.S. in Economics from the U.S. Naval Academy and an MBA from Harvard Business School. The company has not yet approved compensation for Mr. Masson and will file an amendment if a material compensatory arrangement is made. There are no known arrangements or understandings between Mr. Masson and any other person regarding his appointment, nor does he have a family relationship with any director or executive officer or a material interest in any transaction requiring disclosure.
