Amendment to Schedule 13D Filing for Magic Software Enterprises Ltd.

This filing is an amendment to the Schedule 13D, reporting changes in beneficial ownership of Magic Software Enterprises Ltd. ("Magic" or the "Issuer") by Formula Systems (1985) Ltd. ("Formula") and Matrix IT Ltd. ("Matrix"). Following a reverse triangular merger on February 24, 2026, where Magic became a wholly-owned subsidiary of Matrix, and given Formula's 47.67% ownership of Matrix, Formula is deemed to control Matrix. Consequently, Formula's beneficial ownership of Magic's Ordinary Shares increased from 45.3% to 100%. The acquisition of shares was funded by working capital and is intended for long-term investment. Formula may acquire additional shares to support its control position but currently has no plans to dispose of securities or effect other transactions mentioned in Schedule 13D. Key personnel, Guy Bernstein and Asaf Berenstin, hold positions in both the Issuer and the reporting entities, with specified shareholdings.
