Four Leaf Acquisition Corporation (the "Company") announced the termination of its Business Combination Agreement with Guangzhou Xiaoyu DiDa Technology Co., Ltd ("XYDD") on July 15, 2026. This termination was mutually agreed upon to allow the Company to pursue an alternative business combination with Data443 Risk Mitigation, Inc. ("Data443"). In connection with the termination, Data443 has agreed to compensate XYDD by issuing a promissory note of US$2,000,000. This amount is payable in two installments, with provisions for interest accrual and potential conversion into ordinary shares of the combined company under certain conditions. The Company is not obligated to pay any termination fee to XYDD. Additionally, 1,800,000 ordinary shares of the post-combination company will be allocated to S.SHUN Holdings Limited for finder services related to the original XYDD business combination.
