Fluor Corporation Reduces Stake in NuScale Power Corp to 3.9% in Final 13D Amendment

On April 15, 2026, Fluor Corporation and its subsidiary, Fluor Enterprises, Inc., significantly reduced their stake in NuScale Power Corporation (SMR). According to the Schedule 13D/A filing, Nuke Holdings, LLC (a wholly owned subsidiary of Fluor Enterprises) sold 12,936,472 shares of Class A Common Stock to Citibank, N.A. at a price of $11.6293 per share. This transaction was executed pursuant to a previously disclosed letter agreement dated February 17, 2026. Following this sale, the reporting persons' collective ownership decreased from approximately 26,436,472 shares (7.8%) to 13,500,000 shares, representing 3.9% of the total outstanding shares. Because the reporting persons are no longer beneficial owners of more than five percent of the Issuer's securities, this filing serves as the final amendment to their Schedule 13D. The reporting persons will no longer be required to report their holdings under this schedule.
