Spark Capital Entities Report Pro Rata Distributions and Share Sales in eToro Group Ltd.

On May 14, 2026, Spark Capital II, L.P. (SC II) and Spark Capital Founders' Fund II, L.P. (SCFF II) executed pro rata distributions of Class A Common Shares of eToro Group Ltd. (ETOR) to Spark Management Partners II, LLC (SMP II GP) and its limited partners. Specifically, SC II distributed 1,779,504 shares and SCFF II distributed 11,640 shares. Following these distributions, SMP II GP further distributed the shares to its members, including Spark Capital Partners, LLC (SCP). SCP subsequently sold 2,892 shares at a weighted average price of $41.036 per share. As a result of these transactions, SC II now directly holds 3,559,007 shares, representing a 5.3% ownership stake in ETOR. The Reporting Persons, which include SC II, SCFF II, SMP II GP, SCP, and Santo Politi (a member of the Issuer's board), collectively manage varying interests. Santo Politi is deemed to beneficially own 3,584,394 shares (5.4% of the class) including shares held directly and through the entities he manages.
