Termination of Business Combination Agreement and Related Matters

Dynamix Corporation, along with its subsidiaries and related parties, has entered into a Termination Agreement with The Ether Machine, Inc. and its affiliates. This agreement, effective April 8, 2026, mutually terminates the Business Combination Agreement and the Sponsor Support Agreement, both originally dated July 21, 2025. As part of the termination, the Payor is obligated to pay Dynamix $50,000,000 within 15 days of the effective date. The agreement includes mutual releases for all known and unknown claims related to the terminated agreements, a covenant not to sue, and a mutual non-disparagement clause. Dynamix has until November 22, 2026, to complete its initial business combination, after which it will cease operations, redeem public shares, and liquidate if no combination is achieved. The agreement also outlines indemnification obligations between the parties for certain claims and actions.
