Enzon Pharmaceuticals, Inc. - Sixth Amendment to Section 382 Rights Agreement

Enzon Pharmaceuticals, Inc. has entered into the Sixth Amendment to its Section 382 Rights Agreement, originally dated August 14, 2020. This amendment, effective December 23, 2025, extends the Final Expiration Date of the rights issued under the agreement from December 31, 2025, to January 31, 2026. This extension is deemed by the company's management to be in the best interest of the company and its stockholders. All other terms of the Rights Agreement remain in full force and effect. The amendment was executed by Richard L. Feinstein, CEO, CFO, and Secretary of Enzon Pharmaceuticals, Inc., and by Henry Farrell, Vice President of Continental Stock Transfer & Trust Company, as Rights Agent.
