DXP Enterprises, Inc. Term Loan Amendment

DXP Enterprises, Inc. has entered into an amendment to its Term Loan and Security Agreement, dated December 16, 2025. This amendment introduces new incremental term loan commitments totaling $205 million, bringing the total outstanding borrowings under the agreement to $848.0 million. The new loans mature on October 13, 2030, and are priced at Term SOFR plus 3.25% or base rate plus 2.25%. The proceeds will be used for fees, permitted acquisitions, replenishing cash, repaying ABL Obligations, and general corporate purposes. The amendment also includes adjustments to financial ratio covenant compliance dates. All other terms and conditions of the existing agreement remain in effect.
