DRDGOLD Announces Disposal of Interest in Stellar Energy Solutions and Renewable Energy Supply Agreement

DRDGOLD Limited, through its subsidiary Ergo Mining Proprietary Limited, has disposed of its 100% interest in Stellar Energy Solutions Proprietary Limited to NOA Group Assets Proprietary Limited for a cash consideration of R147.5 million. The transaction has reached financial close and will be implemented on December 23, 2025. Stellar Energy Solutions was involved in the development of a 150MWh solar power plant in Polokwane. DRDGOLD also announced the conclusion of a renewable energy supply agreement with NOA Group to procure 76GWh per annum of renewable energy starting January 2028. This agreement supports DRDGOLD's objective of reducing its carbon footprint and aligns with its Vision 2028 growth strategy. The disposal enables DRDGOLD to realize value from the Stellar Project while securing a long-term renewable energy supply. This transaction is uncategorized under the JSE Limited Listings Requirements and is not a related party transaction, hence announced voluntarily.
