Director Election and Departure

Douglas Emmett, Inc. announced that Leslie E. Bider will retire as a director at the annual shareholders' meeting on May 28, 2026. Concurrently, Andy Cohen has been elected to the Board of Directors, effective April 8, 2026. The Board size will temporarily increase to nine members and then reduce to eight following Mr. Bider's retirement. Mr. Cohen, Global Co-Chair of Gensler, will receive an annual retainer of $220,000 in long-term incentive plan units. The company disclosed that it paid Gensler approximately $2.0 million in 2025 for services, stating that these were on terms no less favorable than those available from unaffiliated third parties and do not impair Mr. Cohen's independence. Mr. Cohen is eligible for the company's non-employee director compensation program.
