Cypherpunk Technologies Inc. Board of Directors Changes

On April 7, 2026, Dr. Christopher Mirabelli and Dr. Joseph Loscalzo notified Cypherpunk Technologies Inc. of their intent to retire as members of the Board of Directors and not stand for re-election at the 2026 Annual Meeting of Stockholders. They submitted their resignations, effective immediately prior to the meeting. Concurrently, Dr. Richard Schilsky and Dr. James Cavanaugh, also Board members, notified the Company of their intent to retire, with their terms as Class I directors and committee members ending prior to the 2026 Annual Meeting. The Company stated that these departures are not due to any disagreements regarding operations, policies, or practices. The Board expressed gratitude to all four directors for their service and contributions.
