Cosan S.A. Reports Share Transaction in Rumo S.A.

Cosan S.A. has executed a transaction involving the sale of approximately 4.96% of its subsidiary Rumo S.A.’s total share capital, alongside the execution of derivative instruments (total return swap) that replicate the economic exposure of these shares. This strategic move is part of Cosan’s focus on liquidity and cash management. Importantly, this transaction does not alter Cosan’s political and economic rights concerning Rumo. Cosan’s total stake in Rumo remains at 20.33% direct ownership and 9.94% through derivative instruments. The company has also formally notified Rumo about this transaction in compliance with CVM Resolution No. 44.
