Corebridge Financial, Inc. Enters Voting and Support Agreement

Corebridge Financial, Inc. has entered into a Voting and Support Agreement with Nippon Life Insurance Company and Equitable Holdings, Inc. This agreement is in connection with a previously announced Agreement and Plan of Merger. Nippon Life Insurance Company has agreed to vote its shares in favor of the merger, subject to certain conditions, and to not transfer its shares prior to the stockholder meeting, with some exceptions. The agreement also obligates Nippon Life to use its best efforts to obtain necessary regulatory and governmental approvals for the merger. Upon closing of the merger, new stockholder and registration rights agreements will be entered into, terminating the existing ones. The Voting and Support Agreement will terminate upon the closing of the merger, termination of the Merger Agreement, or other specified events.
