Catalyst Pharmaceuticals Completes Merger with Angelini Pharma S.p.A.

On July 15, 2026, Catalyst Pharmaceuticals, Inc. announced the completion of its merger with Angelini Cielo Inc., a wholly owned subsidiary of Angelini Pharma S.p.A. As a result of the merger, Catalyst has become a wholly owned subsidiary of Angelini Pharma. At the effective time of the merger, each outstanding share of Catalyst common stock (other than canceled or dissenting shares) was converted into the right to receive $31.50 in cash. In connection with the closing, Catalyst notified the Nasdaq Capital Market of the consummation of the merger and requested the delisting and deregistration of its common stock. Trading of Catalyst common stock was suspended on Nasdaq as of July 16, 2026. Following the merger, all previous directors of Catalyst resigned, and the directors of Merger Sub (Sergio Marullo di Condojanni, Massimo Marin, and Enrica Dogali) assumed control of the surviving corporation. The company's certificate of incorporation and bylaws were also amended and restated in their entirety to reflect the new ownership structure.
