China Pharma Holdings, Inc. Enters Technology Transfer Agreement for Ipragliflozin Tablets

On December 22, 2025, China Pharma Holdings, Inc. (the "Company"), through its wholly owned subsidiary Hainan Helpson Medical & Biotechnology Co., Ltd ("Helpson"), entered into a Technology Transfer Agreement with Juan Zhang. The agreement involves the transfer of an invention patent for Ipragliflozin tablets and its preparation method from the Transferor to Helpson. The Transferor will also provide technical services including product research and development, registration material preparation, and application assistance. The total transfer price is $9.8 million, to be paid in the form of 7,000,000 restricted shares of the Company's common stock, valued at $1.40 per share. These shares will be issued in reliance on Regulation S, exempting them from registration under the Securities Act as they are offered to a non-U.S. person through an offshore transaction.
