Americold Realty Trust Enters Cooperation Agreement with Ancora Parties

Americold Realty Trust, Inc. (the "Company") has entered into a cooperation agreement with Ancora Catalyst Institutional, LP and its affiliates (collectively, the "Ancora Parties"). As a result of this agreement, the Company has appointed Joseph Reece and Stephen Sleigh to its Board of Directors, effective December 22, 2025. The agreement also stipulates that the Board size will not exceed eleven directors during the Standstill Period and will be reduced by one director at the 2026 annual shareholder meeting. A new Finance Committee will be formed, composed of five directors including Reece and Sleigh, to advise on capital allocation and business portfolio strategy. The Ancora Parties have agreed to customary standstill restrictions and other provisions until the earlier of 30 days prior to the deadline for shareholder nominations for the 2027 annual meeting or 110 days prior to the first anniversary of the 2026 annual meeting. Reece and Sleigh will serve on the Board until the 2026 annual meeting and will be included in the Company’s slate of nominees for that meeting. Reece has been appointed to the Investment Committee, and Sleigh to the Audit Committee.
