Update on CDT Equity Inc. Shareholder Structure

Mark Taylor, through his New Zealand-based entities Prospect Capital Securities Limited and Prospect Finance Limited, has acquired a significant stake in CDT Equity Inc. The acquisition, detailed in a Schedule 13D filing, involved an exchange of Sarborg Limited shares for CDT Equity Inc. common stock and pre-funded warrants. Initially, Prospect Capital received 198,749 shares and warrants for 36,551,817 shares, while Prospect Finance received 127,209 shares (with 46,902 transferred) and warrants for 24,578,432 shares (with 9,968,931 transferred). Following shareholder approval on March 17, 2026, both entities exercised their pre-funded warrants on a cashless basis, resulting in Prospect Capital holding 36,742,777 shares and Prospect Finance holding 14,957,237 shares. Consequently, Mark Taylor, by virtue of his control over these entities, is deemed to beneficially own approximately 43.79% of CDT Equity Inc.'s outstanding common stock, totaling 51,700,014 shares.
