On July 30, 2026, Corvus Capital Limited ("Corvus") sold 120 shares of Sarborg Limited to CDT Equity Inc. ("CDT") and received pre-funded warrants to purchase 5,436,830 shares of CDT common stock. These warrants were exercised on August 28, 2026, via cashless exercise, resulting in the issuance of 5,436,540 shares of common stock to Corvus. Of these, 290 shares were withheld to cover the exercise price. Andrew Regan, CEO of CDT and sole shareholder of Corvus, may be deemed to beneficially own these shares. Additionally, Regan directly owns 5,600 shares of common stock, and indirectly owns 773 shares through Manoira Corporation, in which Corvus holds a 99% equity interest. Regan disclaims beneficial ownership except to the extent of his pecuniary interest.
